A practicing attorney since 1976, Donald is a founding partner of Greene Radovsky Maloney Share & Hennigh LLP. He counsels business and real estate enterprises, with an emphasis on tax planning. A specialist in capital formation, Donald advises enterprises and investors about structuring investments and legal entities for business and real estate activities. His work involves the use of C and S corporations, joint ventures, partnerships, limited partnerships, and limited liability companies. He has extensive experience with private offerings of securities and tax-advantaged investment structures.
Donald also handles corporate acquisitions and separations, representing buyers and sellers of businesses in mergers, stock acquisitions, and asset acquisitions. He is experienced in representing senior executives in the structuring and implementation of compensation and severance packages. He also has extensive experience in structuring and implementing corporate separations and divestitures, and entity reorganizations and debt restructurings. Donald has structured investments in the United States made by foreign nationals and entities and in overseas transactions involving United State citizens and companies.
Donald handles federal income tax controversies, including the representation of taxpayers before the Appellate Division of the IRS and in Tax Court, and in collection matters before the IRS and the Franchise Tax Board.
RECENT TRANSACTIONS
- Hotel Restructuring
Restructuring the ownership and financing of an approximately 635 room hotel located at Disney World. The transaction involved the acquisition of the Hotel by a joint venture formed by Mr. Share’s client and a third party which infused substantial equity into the Hotel, the refinancing of the Hotel’s first mortgage debt, and planning for Mr. Share’s client so as to minimize the tax cost associated with the diminishment of its interest in the Hotel.
- Land Acquired for Conservation
Mr. Share has, for many years, represented Doug Tompkins, the founder of the Espirit clothing company, his wife Kristine McDivitt Tompkins, the former Chief Executive Officer of the Patagonia clothing company, and charitable organizations that they sponsor, including The Conservation Land Trust and Conservacion Patagonica. Working with counsel in Argentina and Chile in numerous and frequent transactions, Mr. Share has overseen the acquisition by the Tompkins and charitable organizations they sponsor of over two million acres of largely pristine wilderness that are now held for conservation.

The structuring for a major real estate company of the arrangements whereby it acquires, entitles, and develops property, all with an eye to minimizing the associated costs for the company’s principals.
- Corporate Sale
The sale of the assets of a series of affiliated corporations that operated nursing homes in California having, in the aggregate, in excess of 1,025 beds.
